Property Rules

As approved by the SYC Board of Directors at the March 16, 2005 Meeting.

 

   The word “property “refers to all of the land, buildings and docks owned by the Spokane Yacht Club. These rules shall be know as the Property Rules and shall equally govern all club members using the Property. Since all members have different needs at different times, deviation of Property Rules may be permitted by permission of the Commodore, Vice Commodore or Rear Commodore.  The Property belongs to all the members of the club, please treat it like your own and be considerate of others. It is not the intent of the Spokane Yacht Club to provide fulltime residency on the Property seasonal or otherwise..

1.      Chairmen of club-sponsored activities shall have the first right to use the Property and its facilities for that activity. If there are no club-sponsored activities scheduled then the “first come, first serve” rule shall prevail for all facilities. There shall be no reserving or saving of boat slips or RV spaces. Anytime a member or quest leaves a boat slip or RV space, for any reason, that space shall be considered vacant and available for use by another member. Therefore when a member or guest leaves a slip or space they should remove all personal belongings to include chairs and power cords. This rule is not applicable to seasonal rental spaces or sheds

2.      The property can be used by club members and their guest, however all property, facilities and equipment used by members or guests shall be returned to the same or better state of condition prior to said usage. All tables, chairs, food preparation areas and barbeques shall be cleaned and stored. Pans, dishes food preparation equipment, stoves, refrigerators, etc shall be washed, sanitized and stored in proper location.

3.      All equipment on the Property must have the owners’ SYC number affixed in the proper location. Boats shall display the number on each side of the boat, trailers on the trailer tongue. The SYC number will be removed by the member upon termination of membership or when the unit is sold or otherwise disposed of.

4.      All personal equipment (vehicles, RV’s, boats) on the Property must be in working order and bear current licenses.

5.      The motor vehicle speed limit on the Property is five (5) miles per hour.

6.      The launch area is a “No Parking” area and must be kept open for the launching and retrieving of member boats.

7.      All swimming and other water activities are to be confined to the designated swim area. No running on docks.

8.      No boat, vehicle, RV or other member-owned equipment may be left on the Property, unused, for more than 48 hours between July 1 and Labor Day. Be considerate of other members, if a boat, vehicle, RV, or other member-owned equipment is not going to be actively used on the weekends please move it to your storage area or remove it from the property. Exception, unless it is properly located in a designated seasonal rental area or shed, or when the Property is used as a point of departure and return for short-term boating activities.

9.      The maximum time allowed for vehicles to be parked on the beach RV sites shall not exceed fourteen days during any 30 continuous days. The intent of this rule is to allow all the members equal use of the property by limiting the total number of days a member can use non-storage areas. Therefore, any portion of a day will be considered a day. Any time past the fourteen-day maximum during any continuous 30 days, the member will need to place their unit in an approved storage location or remove the unit from the property.

10.    When parking on the beach every effort should be made not to park any closer to the water than the electrical and water stands. This will afford maximum amount of beach for the use of all members while preventing damage to the water lines and allow the use of the beach sprinkler system.

11.    All pets must be on a leash and under the control of their owner.  The owner must immediately clean up their deposits. Pets are not allowed in the Pavilion at any time.

12.    Members using any club equipment or facility must completely clean that area and equipment after use and return equipment to the proper storage area.

13.    Be considerate of others.  On busy weekends, park as close as possible and do not put out awnings. No vehicle shall be parked so as to restrict or impair access to a designated seasonal rental space, or a shed or member owned equipment.

14.    The entry gate shall be kept closed and locked at all times, unless specifically approved by the Board, the Commodore, Vice Commodore or Rear Commodore. Keys/cards to the gate shall only be in the possession of the club members.

15.    The pavilion, restrooms and bathhouse are designated as no-smoking areas.

16.    Private sales and raffles are not allowed on the Property without prior approval of the Board of Trustees.

17.    Members shall not contact the caretaker with their complaints or suggestions. Complaints and suggestions shall be taken to the Rear Commodore, Vice Commodore or the Commodore only.

18.    The Commodore, Vice Commodore and Rear Commodore shall have their choice, at no cost to them, of a non-transferable Summer Seasonal Rental space , either RV, Dock, or Dead Storage, for their exclusive use during their term of office

19.    The Spokane Yacht Club will assume no responsibility for damage to personal property whether caused by fire, theft, vandalism or any other event. Each member or guest leaving or storing private property on the Property shall be responsible for his own insurance.

20.    The use of fireworks of any kind is prohibited on the Property.

RENTAL GUIDELINES/POLICIES

 

SEASONAL RENTAL:  The Club shall offer certain spaces for rent to members on a seasonal basis. Members requesting seasonal rental shall be in good standing and shall have paid dues for the year of the request. Occupancy shall be achieved through a drawing to be conducted at the April general meeting after notice is given in the February club bulletin. A Member must present a personal check, to the Rear Commodore, no later than or postmarked no later than March 31, in the amount of the seasonal rent, in order to be included in the drawing. 

Assignment of spaces will be decided by lottery. Any member who is drawn may choose to trade with another drawn member.  These arrangements will be made between the individuals and the Rear Commodore will be notified of the final change. There will be no sub-renting or sub-use of seasonal rental spaces without the approval of the Board.

Only one rental space (RV, dock, dead storage, shed or sub-rented shed) per membership will be allowed unless, after the drawings have been completed, spaces remain. In that case, a second drawing will be held for the remaining spaces and the one-space rule will not apply.

Members renting spaces from the Club have the responsibility to maintain that space during the season

     The Club currently designates the following spaces:

 GROUP EVENTS AND PROPERTY USAGE REQUIREMENTS:

 

1.      Group usage: Groups of 15 individuals, including family members and guest my use the SYC property and facilities without authorization of the SYC Board. Groups larger than 15 individuals must seek approval of the SYC Board, no less than two weeks prior to any proposed functions.

2.      Deposits: a $200.00 damage deposit payable to the SYC shall be given to the Rear commodore at the time or prior to seeking SYC Board approval for a group function of 16 or more. Group events larger than 30 individuals will not be allowed.

3.      Refund of Deposit: Once the Caretaker and Rear Commodore have agreed that the facilities, property, and equipment used by the group is returned to pre-use condition, then such deposit will be refunded. If however, extra cleanup work is require from the Caretaker, Board Members, or other members of the Club, all or part of the deposit will be forfeited to the SYC. Deposit fees will not apply to SYC sponsored events including; socials, cruises, Club barbeques or dinners, club member community style potlucks or group of 15 or less.

Standing Rules

Purpose:

   Standing Rules are rules that capture policy, traditions and procedures of the Spokane Yacht Club for the purpose of continuity from one term to another. The Vice Commodore is to be the custodian of these standing rules and ensure compliance with article IV, Section B, of Club Bylaws. 

General:

1.      For any and all instances not covered by these rules, the By-Laws of the Club, or the interpretation thereof, the decisions made by the Board of Trustees will be final and binding.

2.      SYC burgees are to be flown from the bow staff of your boat. The burgee is to be flown while moored on the Property and on cruises.  Honor our club by flying only one, the SYC burgee.

3.      Officers of the Club shall be defined as the Commodore, Vice Commodore, Rear Commodore, Purser and Yeoman.

4.      The official formal dress of the club shall be a blue blazer with SYC emblem patch, white shirt, navy blue tie, gray slacks, black socks and shoes, ladies have the option of a gray skirt with the appropriate accessories. Informal dress shall be white polo shirt with SYC emblem, gray slacks or blue shorts.

5.      The commodore will provide each incoming Board member with a job description and a list of duties. Job descriptions will be updated each year by the incumbent Board member and given to the incoming commodore and yeoman prior to the annual meeting.

6.      Plaques:

a.       Past Commodore

b.      SYC Family of the Year.

c.       Any others with the approval of the Board

7.      The commodore will appoint a "Spokane Yacht Club Family of the Year" committee in November of each year. The committee will consist of seven (7) members selected from past recipients of the award, with no member serving more than two (2) consecutive years. The committee will select from the membership the one family who, in the opinion of the committee, best represented the mission of the Spokane Yacht Club for that year. The award will be presented by the chairman of the committee at the annual meeting of the club.   

8.   The definition of “mail”, to include but not limited to the By-Laws, shall consist of the use of the United States Postal Service (USPS) and/or  Electronic Mail (e-mail). The method used, whether USPS or e-mail, shall be determined by the address of record or the last known address of    the member. The address of record and/or the last known address shall be the address that the SYC Monthly Bulletin is sent.  Exception, only  USPS shall be used for notification under By-Laws Article VI – Dissolution.  The bulletin is the official mailing of the Spokane Yacht Club.

Functions:

1.      The Commodore’s Ball will be held in January of each year. Time and place will be announced by the incoming Commodore. The past commodores of the club shall administer the oaths of Office.

2.      The Boat Show will be held in January or February each year. The date will be finalized and announced by the Boat Show Manager.

3.      New member initiation will be held in August of each year in conjunction with the annual Vice-Commodore’s barbecue. The past commodores of the club shall conduct new member initiation.

4.      No liquor to be purchased with club funds except for the hospitality room at the Commodore’s Ball or as approved by the Board.  

Guests and Visitors:

1.      Reciprocal yacht club cards will be placed on our bulletin board. Reciprocal boats to fly their club burgee and receive the same courtesies and privileges we have.  A reciprocal member must have a paid-up membership card and sign our register. A facility key and a copy of our rules can be obtained from the caretaker. Reciprocal yacht club members stay shall be limited to seven (7) days per year. The Yeoman will send out our reciprocal cards each year.

2.      While using the Property members are limited to one guest with boat or RV unit. Members have the first right to established club RV and moorage spaces.  No guest RV will be parked in an established club RV space during the July 4th holiday period, the barbecue weekend or any other function determined by the Board.

3.      Members will register their guest and place a guest card, bearing the sponsor’s name and SYC number, on the dashboard of the guest vehicle, RV or boat. A registration book and guest cards will be provided in the pavilion.

4.      The member shall be held responsible for the conduct and behavior of their guests.

5.      The unmarried children under twenty one (21) years of age shall be entitled to the same privileges, with respect to use of the facilities, as a member, except that a dependent under sixteen (16) years of age must be under the supervision of an adult member. The member shall be held responsible for the conduct and behavior of their children. 

Membership

Membership:    As approved by the Board at the April Meeting 2005

1.       Application for membership shall be made in writing through a sponsor who is a member in good standing of the SYC for a minimum of one year (365 days) following their initiation at the August installation function. Once the sponsor offers the prospective member, the sponsorship shall not be transferable to another member.  The application shall first be submitted to the Membership Committee for initial consideration If the Membership Committee rejects the applicant, the chairman of the Membership Committee or the Commodore, at the Commodore’s discretion, shall notify the applicant of the rejection.

2.      If the application receives approval from the Membership Committee for initial consideration, the Membership Committee shall interview the applicants with the sponsor.

3.      If the Membership Committee rejects the applicants following the first interview, the committee shall report it’s findings to the Board of Trustee’s and the applicant shall not be submitted to the Board of Trustees for membership consideration. A “no vote” by the Membership Committee of any application shall terminate the application process of the applicant.

4.   If the Membership Committee initially approves the applicant's application, the applicant shall then be required to complete at the least the following functions:

 a.   Attend 7 (seven) general meetings along with their sponsor.

 b.   Attend the Commodore's Ball.

 c.   Attend and work the SYC property opening and/or closing.

 d.   Attend and work 1 (one) additional work party.

 e.   Work at least 5 (five) shifts at the annual Boat Show.

 f.    Attend 1 (one) social function, in addition to the Commodore's Ball.

 g.   Complete at least 3 (three) SYC cruises, in the applicant's boat, which is away from the

property. Said cruises shall be those that require an overnight stay.

 h.   When approved for membership, the new member(s) shall attend and participate in the next         available initiation function.

5.    If any of the above functions place undo hardship on the applicant and/or sponsor, the applicant and/or sponsor may petition the membership committee to allow reasonable substitutions for any requirement.

 6.  An applicant's entire process for admission as member, including, but not limited to the         above requirements, must be completed within 12 (twelve) months of receiving their initial approval to proceed with their application as noted in paragraph 4 above.

7.   It shall be the burden of the applicant to make sure he/she/they have signed all necessary cruise logs and/or other documentation acceptable to the Board of Trustees to evidence satisfactory completion of all required functions.

8.   Applicants who have previously been members in good standing of the club shall, at the discretion of the Board, not be required to complete the functions required in paragraph 4 of the above prior to their application being acted upon by the Membership Committee.  Prior members however, must still comply with Article 11, Section of the By-laws,  "Members in The Spokane Yacht Club shall be limited to 200 members.  Subject to limitation, applicants shall be at least 21 years of age, and shall be required to own and operate a power boat capable of maintaining a normal cruise speed as established by the governing board."

9.  Once the applicant has timely completed all required functions, the Membership Committee shall then interview them a second time.  If, following the second interview, the Membership Committee rejects the applicant's application, said rejection shall be reported to the Board of Trustees and no further action on the application shall be taken.  The chairman of the Membership Committee or the Commodore, at the Commodore's discretion, shall notify the applicant of the rejection.

10. If, following the second interview, the applicants are recommended for membership by the Membership Committee, said committee shall then offer their recommendation to the Board of Trustees for ultimate decision.

11.  If the Board of Trustees approves the application for membership, the applicant shall then tender the application fee and first year's dues, as established by the Board of Trustees, within 30 (thirty) days of said approval.

12. Failure to satisfactorily complete any tasks/functions required of the applicants shall terminate and/or void their application.  Applicants may not again apply for membership for 365 days following the date of their rejection for membership by either the Membership Committee, or the Board of Trustees.  Any and all completed and/or partially completed functions do not carry forward into any other application process.  Should the applicant wish to apply following the 365-day exclusion period, they must start over with all required tasks/functions required for application consideration.

13.  A member in good standing may only sponsor one family unit (membership) at a time.

 

 

Boat Show Committee:

1.      Purpose: To serve in an advisory capacity to the Board on all matters pertaining to the annual boat show, including selection of a boat show manager, assistant boat show manager, review and all other functions.

2.      Committee Members: The Vice Commodore is to serve as chairman from the completion of the boat show until the completion of the next year’s boat show;  Manager of the Boat Show; three members at large - rotating three-year terms, one appointed each year by the Commodore. The appointee is not to be a member of the Board at the time of appointment.

BYLAWS of the SPOKANE YACHT CLUB

 

ARTICLE I - ORGANIZATION, PURPOSE AND NAME

 

Section 1.

   The Spokane Yacht Club is a non-profit Corporation organized and existing under the laws of the State of Washington and is the successor to The Spokane Outboard Club.

Section 2.

   The purpose of the Spokane Yacht Club is to serve the interests of boat owners and enthusiasts, to protect such persons against adverse legislation and taxation, to prevent the pollution of area waters and camping facilities, to stimulate a greater interest in boating among all the citizens in the area served by the Club, to provide a medium for the exchange of boating information, to own or lease property for Club uses, to develop more adequate boat storage and dock facilities and to do all other things which will tend to service owners and operators of boating equipment and to further interest of boating generally.

Section 3.

   The name of the Club is The Spokane Yacht Club.

ARTICLE II - MEMBERSHIP

Section 1.

   Membership in The Spokane Yacht Club shall be limited to 200 members. Subject to such limitations, applicants shall be at least 21 years of age, and shall be required to own and operate a power boat capable of maintaining a normal cruising speed as established by the governing board.

Section 2.

   Application for membership in the Club shall be made in the manner prescribed by the Board of Trustees. An application for membership shall first be referred to the membership committee for consideration. If they approve such application, it shall then be submitted to the Board of Trustees at the next regular or special meeting and shall be voted upon. A favorable vote of a majority of those board members present shall be required to elect an applicant to membership. If the application is approved, the applicant shall become a member of the Club upon payment of the initiation fee and first year's dues.

Section 3.

   A member may resign from the Club at any time upon notice in writing addressed to the Yeoman.

Section 4. 

   To be a member is good standing, a member must be current in the payment of all dues, rentals and fees. Members not in good standing may be terminated by action of the Board of Trustees. Termination of the membership of any member shall not release the said member from the obligation to pay all monies owing, pro-rated to the date of termination.

Section 5

   Members of the Club will be responsible at all times for the actions of their guests, minor children and animals, at all club sponsored functions and with respect to the Club property. This responsibility covers general behavior and prohibiting the consumption by any minor of alcoholic beverages at Club functions or at Club facilities. Failure to observe this responsibility will be deemed grounds for expulsion.      

Section 6.

   Votes at membership meetings shall be cast one vote per family membership. There shall be no proxy or absentee voting.

Section 7.

   Upon the completion of their term as commodore, a member shall become a life member of the Club, subject to the provisions of these by-laws with respect to resignation and expulsion. Such a life member shall be required to pay dues, if living in the Spokane area, but if living too far away to participate in the activities of the Club, the Board of Trustees, may, on request, suspend their dues. If such a life member's dues are suspended, they shall not be counted in determining the number of members in the Club for the purposes of quorum, total membership limitations or for any other purpose. Neither shall they be entitled to vote at any meeting of the Club, but shall have all the other rights and privileges of membership.

Section 8.  Fees

   The initiation fees and dues will be established by the Board of Directors, voted by the membership and documented in the standing rules.

The Club will place 10 per cent of the annual dues in a reserve account to be held and invested as a reserve for financial emergencies, which may arise in the future.

Section 9. Payment of fees.

   Annual dues are due January 1st, of each year. Any member, who has not paid their dues by February 1st, shall be suspended from all privileges of membership in the Club. Member may be reinstated at the discretion of the Board of Trustees and tender of delinquent dues plus an assessment of $25.00. Dues and fees to be published in the November and December bulletins.

Section 10. Meetings.

   The annual meeting of the members of the club shall be held on the first Wednesday in December. Regular meetings of members of the Club shall be held on the first Wednesday of each month unless otherwise designated by the Board of Trustees. Written notices of the place, day and hour of the annual and of all regular meetings of the members shall be distributed to the membership by the Board of Trustees.

Special meetings of members of the Club may be called by the Commodore or by any three members of the Board upon giving three days notice to the membership, such notice shall state the place, day, hour and purpose of the meeting.

   Robert's Rules of Order, latest edition, shall govern on all points where they are applicable and not inconsistent with the Bylaws and the temporary rules adopted by the Board of Trustees. When asked for a ruling on a point of order the Commodore shall have the final authority.

Section 11. Quorum.

   25% of the regular members in good standing shall constitute a quorum. Any action taken at any regular or special meeting shall require a quorum and a majority vote of those present.

 

ARTICLE III - BOARD OF TRUSTEES

SECTION 1.

   The management of the Club shall be vested in a Board of thirteen (13) trustees as voting members of the Board. Twelve (12) elected trustees, consisting of the Commodore, Vice Commodore, Rear Commodore, Yeoman, Purser, Fleet Captain, Attendance/Directory, Bulletin, Membership, and Social/Program, Idaho Legislation and Washington Legislation. The immediate Past Commodore shall be a trustee. The twelve (12) elected trustees shall be elected by the members at their annual meeting and shall take office January 1st.

SECTION 2.

   All elected members of the Board shall hold office for one year or until their successors are duly elected and qualified.  The Commodore shall not serve more than one term consecutively. Elected Board Members that fail to attend three (3) consecutive Board Meetings, at the discretion of the Board, shall forfeit their position on the Board of Trustees.

SECTION 3.

   Seven members of the Board shall constitute a quorum at any meeting of the Board.

SECTION 4.

   Regular meeting of the Board shall be held monthly at a time and place designated by the board.

SECTION 5.

   Special meetings of the Board may be called by the Commodore or by any three members of the Board. Notice shall be given in sufficient time to permit members to be present.

SECTION 6. 

   The Board shall have the authority to contract the Manager of the Boat Show. The Boat Show Manager is not a voting member of the Board. The Boat Show Manager shall manage the Boat show as designated under contract, by the Board of Trustees.

SECTION 7.  Discipline, Suspend and Expel:

   The Board shall have the authority to discipline any member guilty of misconduct during any regular or special meeting, cruise, or function of the Club, or whenever cruising under the insignia of the Club, or on SYC Property. Such misconduct shall also be grounds for expulsion.

Membership may be terminated or suspended for just cause by a three-quarter (3/4) vote of the Board Members present (quorum required, see Article III, Section 3) at any regular or special board meeting, provided that written notice of the proposed expulsion has been given to the member thirty (30) days prior to such meeting.

ARTICLE IV - TRUSTEES DUTIES

Section 1. The Commodore Shall:

   Preside at all meetings of the Club and of the Board and shall appoint any special committee chairmen. The Commodore shall be an ex-officio member of all committees and shall carry out such other duties as are assigned to them by these Bylaws and by the Board.

   Appoint a nominating committee of five (5) members at the October meeting for the purpose of selecting candidates for the twelve (12) Trustee positions. No member shall serve on the nominating committee for more than two (2) consecutive years. The names of the candidates selected shall be presented to the regular November and December meetings at which nominations may be made from the floor. Those nominated will be voted upon by the membership at the annual meeting.

Section  2.   The Vice-Commodore Shall:

   Perform the duties and have the powers of the Commodore during the absence or temporary incapacity of the Commodore.

Submit to the Board of Trustees, on or before the regular April meeting, a proposed budget covering all anticipated expenditures for the new fiscal year. The budget shall be considered and approved, with or without revisions. The budget is subject to revision at any meeting of the Board of Trustees thereafter. The Club shall not be obligated otherwise than according to the approved budget.

Be the custodian of the Standing Rules.

Section  3. The Rear-Commodore shall:

   Be responsible for all Club properties. Appoint a committee to see that the required maintenance and improvements are performed, as recommended by the Property Planning Committee and deemed necessary by the Board of Trustees.

Section 4. The Yeoman shall:

   Keep minutes of all meetings of the Club and of the Board.

Ensure that all the members of the Board of Trustees have a current copy, with up to date revision, of these Bylaws and the Standing Rules of the Spokane Yacht Club.

Section 5. The Purser shall:

   Keep all financial records and accounts of the Club and have custody of its funds.

Keep all Club funds in a bank designated by the Board and in the name of the Club, subject to withdrawal by checks signed in such manner as shall be prescribed by the Board. Disburse the funds of the club by check, as directed by the Board. The Purser and all officers shall be bonded at the expense of the Club.

Section 6. The Fleet Captain shall:

   Appoint such members as deemed necessary to serve as the Cruise Committee. Such committee shall be responsible for the scheduling and planning of all cruises sponsored by the Club and will present this schedule to the Board for approval. Present to the membership, information regarding safe boating, first aid, boat trailing and any other safety program deemed necessary. The Fleet Captain shall recommend the minimum standards of safety as required by the U. S. Coast Guard.

Section 7. The Attendance/Directory Trustee shall:

   Publish a Club directory, with information as established by the Board and maintain a record of the Club functions and activities.

Be responsible for attendance records at all Club meetings. The Trustee may appoint members of the Club to assist in carrying out the duties.

Section 8. The Bulletin Chairman shall:

   Edit and distribute a monthly club bulletin.

Section 9. The Membership Trustee shall:

   Appoint four (4) members of the Club to serve as the membership committee. Such committee shall be responsible for the solicitation of new members and shall present all membership applications received to the Board. Refer to Article II, Section 2.

Section 10. The Social Trustee shall:

   Appoint a committee to conduct the various social activities of the Club. Be responsible for the Blood Bank Program.

Section 10.

   Vacancies in any elective office may be filled by the Board at any meeting. The successor so appointed shall service for the unexpired term.

Section 11.

   The Legislation Trustees, Washington and Idaho, shall monitor the legislation from their respective local region, state and nationally, and inform the members of the Spokane Yacht Club.

Section 13.

   The Board shall establish Standing Rules to maintain continuity within the Club. Amendments to Standing Rules may be made by a majority vote at any regular or special meeting of the Board or general membership. The general membership shall be notified, by mail (monthly bulletin) of any amendments to the Standing Rules. Standing rules shall be published in the annual directory.

ARTICLE V – STANDING COMMITTEES

Section 1. The Property Planning Committee:

   The Property Planning Committee consisting of five (5) members shall be elected at the annual meeting. Members of the committee shall serve terms of five (5) years and shall be divided into classes so that one member is elected each year. Members of the Property Planning Committee shall be members in good standing of the Spokane Yacht Club. Vacancies in the committee shall be filled by an interim appointment made by the Board of Trustees. Interim committee members will serve until the next annual meeting of the Club, at which time an election will be held to fill the unexpired term. No member of the Board of Trustees shall be elected to the Property Planning Committee; however, a member of the committee may be elected to the Board of Trustees. At no time may more that two (2) of the five (5) elected committee members serve on the Board of Trustees. The Commodore and the Rear-Commodore will be ex-officio member of the committee.

The Property Planning Committee shall:

   Establish one, three, and five year project plans for additions, improvements, and/or maintenance of the properties of the Spokane Yacht Club, making recommendations for the financing of these projects. Report findings, recommendations and financial estimates to the Board of Trustees and give an annual report at the March general membership meeting. The Committee shall elect each year its own Chairperson from the five elected members of the Committee. The Committee shall meet as often as necessary, and at least semi-annually. The chairman, Commodore, or any three members of the committee may call a meeting. The property Planning Committee shall keep a complete record of all its proceedings. All reports of the committee shall be filed and preserved with the records of the Club. By two-thirds vote, the Property Planning Committee may suspend any of its members until the next general membership meeting. Members of the Spokane Yacht Club attending that meeting shall vote whether to remove the suspended party.

Section 2. The Audit Committee:

   The Audit Committee consisting of three members shall be elected at the annual meeting. Members of the Audit Committee shall serve terms of three (3) years, and shall be divided into classes so that one member is elected each year. Members of the Audit Committee shall be members in good standing of the Spokane Yacht Club. Vacancies in the committee shall be filled by an interim appointment made by the Board of Trustees. Interim committee members will serve until the next annual meeting of the club, at which time an election will be held to fill the unexpired term. No member of the Board of Trustees may service on the Audit Committee, however, the Purser for the year being audited shall be available to answer questions.

The Audit Committee shall:

   Audit the financial books of the Spokane Yacht Club. This audit shall take place within sixty (60) days of the close of the Club's fiscal year. Fiscal year shall be a calendar year. The committee shall determine that the Club funds have been dispersed as directed by the Board of Trustees. It shall not be the duty of this committee to question any expense approved by the Board of Trustees, except in case of apparent irregularities. The audit committee may establish a system for keeping the financial records of the Club provided it is approved by the Board of Trustees. The audit Committee shall report the financial status of the Club to the Board of Trustees giving any recommendations necessary to maintain the financial stability of the Club. The report of he Audit Committee will be given at the April general membership meeting. The senior most member of the committee shall be the chairperson.

ARTICLE VI - DISSOLUTION

   Dissolution shall require a two-thirds (2/3) majority vote of the total members in good standing at a meeting of the corporation provided that written notice stating that the purpose or one of the purposes of the meeting is to consider the advisability of dissolving the corporation shall have been given to each member entitled to vote at the meeting not less than ten (10) not more that fifty (50) days prior to the date of the meeting. In the event of the dissolution of the Club, whether voluntary or involuntary, the assets of the club shall be applied and distributed as follows:

All liabilities and obligation of the Club shall be paid; satisfied and discharged or adequate provision shall be made therefore.

All remaining assets shall be distributed among the members in proportion to the length of time that such members have been continuously members of the Club prior to dissolution. Each member in

 good standing at the time dissolution is instituted shall be entitled to as many shares (but not less than one) as the number of full years that he has been a member of the Club continuously prior to the institution of dissolution proceedings. For example, if at the time of dissolution there were three members, Jones, Smith and Brown, and Jones had been a member continuously for 10 years, Brown for 20 years and Smith has just joined the month before dissolution, the remaining assets in the Club would be divided in 31 shares, Jones would receive 10, Brown would receive 20 and Smith would receive 1.

            Provided:

Any year when a member, as a Past Commodore or as a demitted member, did not pay dues shall not interrupt his continuous membership but shall not be counted in computing such member's years of membership.

Any member who is not more than three months delinquent at the time dissolution instituted, shall be entitled to be reinstate by paying all fees due the Club within 30 days after receiving notice that dissolution proceedings have been instituted.

Any member whose membership has been interrupted by expulsion or resignation shall not be entitled to count any years prior thereto, but a member who has been suspended and has been reinstated, and has paid all fees due the Club, shall not be deemed to have had his continuous membership interrupted.

The Club means this corporation including its predecessor, The Spokane Outboard Club.

ARTICLE VII - AMENDMENTS

   These Bylaws may be amended by a two-thirds (2/3) vote of the members of the corporation at a meeting at which a quorum is present provided that notice setting forth the substance of the proposed amendment was mailed to all of the members not less than ten (10) nor more that thirty (30) days prior to the meeting at which the amendment is to be vote upon; provided that an amendment of Article VI - Dissolution, shall not be effective unless adopted by the affirmative vote of two-thirds of all of the members in good standing at two consecutive meetings of the members which meetings shall be less than thirty (30) days apart.

ARTICLE VIII - LIABILITY INSURANCE AND INDEMNIFICATION OF MEMBERS

   The club will carry public liability insurance in the amount of not less than $100,000.00 per person and $300,000.00 per accident bodily injury and $50,000.00 property damage, to insure it against claims, demands and suits arising out of the ownership, use or operation of its property or the conduct of any of its activities. If any claim, demand or suit is brought against any officer, trustee or member of the Club on account of, or arising out of the activity or project, then the Club will indemnify and save harmless such officer, trustee or member from the same including costs, expenses and reasonable attorney fees incurred in defending the same, provided that this indemnification shall not extend to case of injury or damage intentionally caused or inflicted by any such officer, trustee or member, or resulting directly and proximately from the intoxication of such office director or member.

ARTICLE IX - ADOPTION OF AMENDED BYLAWS

   These amended Bylaws were adopted by the Spokane Yacht Club on the 5th Day of November, 2003 in accordance with Article VII of the Bylaws as hereto existing.

U.S. CUSTOMS AND BORDER PROTECTION ANNOUNCES
ADDITIONAL SECURITY ENHANCEMENTS FOR PLEASURE
BOATERS

SEATTLE Š U.S. Customs and Border Protection (CBP) has
implemented enhanced security procedures for small boats
arriving in the United States from Canada.  The new private boat
clearance procedures are part of CBPÕs comprehensive efforts
to enhance security at our nationÕs borders.

Private boaters will be required to report to specified ports of
entry for inspection if they are not currently enrolled in a "trusted
traveler" program.  Only boaters participating in the I-68 or
NEXUS/SENTRI programs will be allowed to report their arrivals
by phone.  Personal Identification Numbers (PINs) issued under
the old Small Boat Reporting System are no longer valid. 
Participation in the trusted traveler programs requires the
payment of a fee and passing a background check by CBP and
Canadian authorities. 

Participation in the I-68 program requires each applicant to
appear in person for an interview at a Customs and Border
Protection port of entry.  Fees are $16 (US) for an individual or
$32 (US) for a family.  U.S. citizens, Lawful Permanent
Residents, Canadian citizens and Landed Immigrants of
Canada who are nationals of Visa Waiver Program countries are
eligible to apply for I-68 seasonal boating permits.  Private
boaters are encouraged to apply BEFORE attempting their first
trip to expedite the border clearance process.

"These new procedures allow CBP the ability to carry out our twin
goals of preventing terrorists and terrorist weapons from
entering the United States, while at the same time facilitating
legitimate travel and trade," said Thomas Hardy, Director of
CBPÕs Seattle Field Office.  "Those boaters enrolled in our
expedited travel programs will reap the benefits of our call-in
inspection process."

The Pacific Northwest is one of the busiest international boating
areas in the United States.  These new procedures are
designed to augment a myriad of security enhancements
implemented by CBP at our borders since the terrorist attacks on
America on 9/11/01.

procedures are outlined in the attached FACT SHEET.  Boaters
are encouraged to contact their nearest CBP office with
questions regarding these new enhanced security procedures

Reporting Requirements for all Private Boat Operators

U.S. Customs and Border Protection has increased enforcement
efforts of small boat
arrivals and the face-to-face inspection requirement upon arrival,
of associated crew and passengers.  This increased
enforcement posture requires physical reporting to designated
local U.S. Customs and Border Protection Offices unless
enrolled in an Alternative Inspection Services Program that
would allow arrival reporting by phone. 

Affected individuals are encouraged to participate in any of the
Alternative Inspection Services Programs described in this
document to expedite reporting of arrival and clearance into the
United States.  Participation in any of the programs does not
preclude the requirement for a physical report upon request by
U.S. Customs and Border Protection.

Small Boat Reporting System (SBRS) participants are NOT
EXEMPT from reporting under these procedures and are strongly
encouraged to apply for participation under one of the programs
listed in this document.  Previously issued SBRS PIN numbers
will no longer be valid.

Who Reports:
All U.S. Citizens and aliens seeking entry to the United States
MUST REPORT their arrivals.  Boaters participating in either the
I-68 or NEXUS/SENTRI programs MUST REPORT but may do so
by phone.

Masters - The master or person in charge of the boat must
report their arrival to U.S. Customs and Border Protection.  For
the purpose of these instructions, the term "boat," means any
vessel not engaged in trade or documented trade (not carrying
merchandise or passengers for hire) such as pleasure boats
and yachts, regardless of size.  This requirement applies to all
boats regardless of country of registration.  Additionally, boats
registered outside Canada or the U.S. must contact a local CBP
office for a cruising license.
 
Aliens - All aliens (including alien crewmen) who are applicants
for admission or otherwise seeking admission or readmission
into the U.S. must report for inspection by a U.S. Customs and
Border Protection Officer. 

U.S. Citizens - Persons claiming to be U.S. citizens must report
to a U.S. Customs and Border Protection Officer to establish that
fact to the examining officerÕs satisfaction.



When Reporting Is Required:
Masters must report their arrival to U.S. Customs and Border
Protection if having been engaged in any of the below activities:
· After having been at any foreign port or place;
· After having had contact with any hovering vessel;
· After having anchored or engaged in fishing;
 
Reporting Procedure:
The master or designee may go ashore only to report the arrival
to U.S. Customs and Border Protection either in person or if
participating in the I-68 or NEXUS/SENTRI programs, by phone. 
No other person may leave or board the boat and no baggage or
merchandise may be removed or loaded until the report of arrival
is made and release granted by a U.S. Customs and Border
Protection Officer.  Each crewmember and passenger must also
be in possession of an
I-68 or NEXUS or SENTRI card to qualify for phone-in reporting.
